Acquisition Integration Design and Governance

Client: Spirax Sarco Engineering plc is a £1.5+bn, 10,000 employee organisation that delivers electrical and steam thermal solutions as well as fluid pump technologies. It operates in over 50 countries worldwide and has more than doubled in size during the past ten years.

Situation:  The largest acquisition in Group History was being undertaken of Gestra (£80m sales), a German business in the same Steam Thermal Solutions sector. This was a carve-out from another large multinational (Flowserve) and required careful design of how it would be de-coupled from the current owner and integrated within our business. 

BTC role: BTC designed the integration governance methods and managed the relationship with the vendor post acquisition, to deliver a clean separation within four months of the acquisition date. We spent considerable time and energy communicating with and guiding local leaders across the organisation to ensure that everyone was aligned in approach.

Outcome: Systems and corporate reporting integration completed in record time and the acquisition continues to operate successfully in line with the original integration design


Post Acquisition Performance Diagnosis

Client: Chromalox is a $200million sales, predominantly US based electrical heating business, headquartered out of Pittsburgh, USA. It had previously been private equity owned for over 15 years.

Situation: Post acquisition of a new business in America there were signs of deteriorating profitability and concerns around internal systems. As a new sector for the business, the CEO wanted a quick assessment done on what the root causes might be.  

BTC role:  Over the course of four weeks BTC undertook a detailed review of all key sites, met with the leadership team, key functional heads and analysed the financial performance. A report detailing ten improvement opportunities related to governance, supply chain, and operations was created with the local team and then used as the basis for the turnaround plan.

Outcome: First acquisition of expansion into Electric Thermal Solutions has gone on to form the core of a new Division.


Technology Deployment Assurance

Client: Watson Marlow Fluid Technology Solutions is a £500m sales business operating across the globe with factories and sales operations in multiple countries. It specialises in fluid technology solutions in critical applications such as BioPharm, Mining, and other industries.

Situation: A new worldwide IT platform was to be implemented using an external implementation partner. The business had very limited experience of international deployment of ERP technology and were seeking a trustworthy advisor to guide them during the rollout.

BTC role: A governance structure was created and BTC joined that forum to provide regular assurance on the recommendations and to stimulate alternative thinking. This took the form of 1-2 days per month to understand the project and help facilitate in the governance forum with the partner and the client.

Outcome: ERP platform successfully implemented and remains a core part of the integrated operations of the business


Functional Strategy Coaching

Client: Ecctis is a £20m turnover organisation that provides key public sector services (Department of Education and Home Office). Located in the UK it has around 200 employees.

Situation: An Interim CEO was appointed to steer the business for six months whilst new CEO found. Whilst in place the Interim CEO saw that the Finance and IT organisations were struggling to put their ideas into practice and deliver a strategy.

BTC role: For two days a week, BTC both analysed the departments and coached the IT Director and Finance Director in how to develop an understanding of their environment, the plans they should establish and how to embed those in the department and across the function. 

Outcome: Insights and plans presented have been used to shape future direction of the business.
